• Ensure your use of our services complies with all applicable laws and regulations.
• Avoid unauthorized sharing or distribution of proprietary materials, deliverables, or methodologies.

4. Engagement and Billing

• Services are billed as outlined in your engagement agreement, whether project-based, retainer, or otherwise.
• Fees are non-refundable except as required by law or specified in your agreement.
• Any changes to the scope of work may result in adjusted fees, which will be communicated in writing.

5. Intellectual Property

All methodologies, frameworks, tools, content, and materials provided by Black Swan Strategic Consulting are owned by or licensed to us. You may not reproduce, distribute, or modify any materials without prior written consent. Deliverables created specifically for your engagement are subject to the terms outlined in your engagement agreement.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information exchanged during the engagement. This obligation survives the termination of services.

7. Limitation of Liability

Black Swan Strategic Consulting is not liable for:

• Any indirect, incidental, or consequential damages.
• Loss of business data, profits, or opportunities arising from the use or inability to use our services.
• Outcomes resulting from client decisions based on our recommendations.

8. Termination

Either party may terminate an engagement as specified in the engagement agreement. We reserve the right to suspend or terminate services for violation of these Terms, non-payment, or misuse of our materials.

9. Modifications

Black Swan Strategic Consulting may update these Terms from time to time. Changes will be effective upon posting, and continued use of our website or services constitutes acceptance.
